Contract Sharp Terms & Conditions

1. Services Provided

Contract Sharp provides contract review and advisory services, including analysis, risk assessment, and commercial recommendations based on client-provided documents. All services are provided on a professional advisory basis; we do not provide legal, financial, or tax advice.

2. Client Responsibilities

Clients must:

  • Provide accurate, complete, and lawful documents.

  • Ensure they have the right to share the materials provided.

  • Give timely access to relevant information or personnel as reasonably required.

  • Notify Contract Sharp of any changes that may affect the service.

3. Confidentiality and Data Handling

  • All client materials are treated confidentially and processed in accordance with GDPR and UK data protection law.

  • We use secure, access-controlled systems to store and process data.

  • Client data will only be shared with authorised service providers, legal/professional advisors, or when required by law.

  • Our Privacy Policy explains how we collect, use, and retain personal information.

4. Use of AI Tools

  • We may use AI tools to assist with document analysis and risk assessment. We do not use public AI services. All AI processing is carried out in a secure, controlled environment within our systems. No unredacted, sensitive, or personally identifiable client information is ever sent to public AI services. All data processed by these tools remains secure and within our systems, and final recommendations are assessed, completed and validated by a human.

5. Fees, Payment, Cancellations and Refunds

  • Fees are agreed in advance and payable according to the invoice terms.

    1. Cancellation by Client

    • Clients may cancel a service or course at any time by providing written notice.

    • For advisory services, cancellations must be made at least 5 business days before the agreed start date to avoid being charged for work already scheduled.

    • For pre-paid courses/training, cancellations made at least 5 calendar days before the course start date are eligible for a full refund.

    2. Refunds

    • Refunds are offered in the event of non-delivery of service, technical errors, or duplicate payments.

    • Refunds for completed advisory services or delivered digital products are not provided, except where required by law.

    • All refunds will be issued using the same method as the original payment, or by bank transfer if necessary.

    3. Non-Refundable Items

    • Delivered digital materials, including contract analysis reports and e-books, are considered non-refundable once access has been granted.

    4. Payment Disputes

    • Any disputes regarding payments, cancellations, or refunds should be raised with Contract Sharp promptly. We will make reasonable efforts to resolve issues in line with consumer protection law.

    5. Force Majeure

    • Contract Sharp is not liable for refunds or cancellations caused by circumstances beyond its reasonable control, including technical outages, server failures, or other force majeure events.

6. Limitation of Liability

  • Our liability for any claim arising out of or in connection with the services is limited to the fees paid for those services.

  • We are not liable for indirect, incidental, or consequential damages.

  • We are not responsible for decisions or actions taken by clients based on our advice.

  • Clients agree to indemnify Contract Sharp for any claims arising from inaccurate, incomplete, or unlawful information they provide.

7. Termination

  • Either party may terminate the engagement with reasonable written notice.

  • Upon termination, Contract Sharp will securely delete client materials within 30 days.

8. Governing Law and Dispute Resolution

  • These T&Cs are governed by the laws of England and Wales.

  • Any disputes arising from these T&Cs or the services will first be attempted to resolve through negotiation. Failing that, disputes will be submitted to the English courts.

9. Intellectual Property

  • All reports, methodologies, tools, templates, and materials provided by Contract Sharp remain our intellectual property. You are granted a licence to use the reports and recommendations for your internal business purposes only. You may not copy, sell, redistribute, or claim ownership of Contract Sharp’s proprietary methods or materials.

  • Clients may not copy, reproduce, or distribute content without written permission.

10. Changes to Terms

  • Contract Sharp may update these T&Cs from time to time. Clients will be notified of material changes via email or account notice.
